1. License Grants and Usage Rights

Subject to your compliance with these Terms and payment of applicable license fees, UtiApps grants you a limited, non-exclusive, non-transferable, revocable license to install and execute our Android applications on compatible Android devices you own or control:

• Individual / Pro Licenses: Grants personal, commercial, or non-commercial use on the number of personal devices specified at purchase (e.g. up to 3 devices for Ultimate Suite).
• Developer / Source Licenses: Grants non-exclusive rights to inspect, adapt, and integrate the code into your proprietary commercial products, subject to the specific source license agreement issued upon delivery.
• Restrictions: You may not reverse-engineer, decompile, redistribute, rent, lease, or publicly resell our standalone APKs or software license keys without prior written authorization.

2. Purchases, Payments, and Digital Fulfillment

All software licenses and digital goods on this website are priced in US Dollars (USD) or your local currency as determined by Paddle.

• Billing: By placing an order, you authorize Paddle.com to charge your designated payment method (Credit/Debit Card, PayPal, Google Pay, Apple Pay) for the listed price including applicable sales taxes or VAT.
• Instant Digital Delivery: Licenses are delivered electronically. Following payment verification, your license key and direct APK download links will be dispatched to your provided email address within minutes.
• One-Time Payments: Unless explicitly stated otherwise, licenses are one-time purchases for lifetime access with no recurring subscription fees.

3. Refund and Cancellation Policy

4. Intellectual Property Rights

All intellectual property rights in the software, logos, user interfaces, documentation, trade names, and underlying code are and remain the exclusive property of UtiApps or its licensors. All rights not expressly granted to you are reserved.

5. Disclaimer of Warranties and Offline Device Usage

Our applications are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for maximum stability and security:

• Carrier and device features depend on your mobile operator, Android version, and local device configuration.
• UtiApps apps serve solely as local client utilities and automation companions on your device.
• To the fullest extent permitted by law, UtiApps disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

6. Limitation of Liability

In no event shall UtiApps or our payment processors (including Paddle.com) be liable for any indirect, punitive, incidental, special, or consequential damages arising out of the use or inability to use our applications, even if advised of the possibility of such damages. Our total cumulative liability shall not exceed the amount actually paid by you for the applicable software license in the preceding twelve (12) months.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without giving effect to any conflict of law principles.
